Acceptance of Terms
By accessing or using SwiftPane ("the Service"), operated by SwiftPane.com ("we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
If you do not agree with any part of these terms, you must not use the Service. Continued use of the Service following any updates to these terms constitutes acceptance of those changes.
Section 2
Account Terms
To use SwiftPane, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials.
- You must be at least 18 years of age to create an account.
- Each user must have their own account. Sharing login credentials is not permitted.
- You are responsible for all activity that occurs under your account.
- Organization administrators are responsible for managing user roles (admin, designer, general) and access within their organization.
- You must notify us immediately if you become aware of any unauthorized access to your account.
Section 3
Subscriptions & Billing
SwiftPane offers a free trial period and paid subscription plans. Paid subscriptions are billed monthly via Stripe.
- Free trial: New organizations receive a 14-day free trial with limited functionality. No credit card is required to start a trial.
- Monthly pricing: $19/month per user. Applicable taxes are added at checkout.
- Billing cycle: Subscriptions are billed monthly from the date of initial subscription. User count changes are prorated automatically.
- Payment method: Payment is processed securely via Stripe. You must maintain a valid payment method on file for the duration of your subscription.
- Cancellation: You may cancel your subscription at any time from the Billing page. Cancellation takes effect at the end of the current billing period. No partial refunds are provided.
- Failed payments: If a payment fails, we may suspend access to paid features until the outstanding balance is resolved.
Section 4
Acceptable Use
You agree to use SwiftPane only for lawful purposes and in accordance with these terms. You must not:
- Use the Service for any illegal or unauthorized purpose.
- Upload content that is defamatory, obscene, threatening, or infringes on the rights of others.
- Attempt to gain unauthorized access to the Service, other users' accounts, or our systems and networks.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use automated tools (bots, scrapers, etc.) to access the Service without prior written consent.
- Resell, sublicense, or redistribute the Service without authorization.
We reserve the right to suspend or terminate accounts that violate these terms at our sole discretion.
Section 5
Intellectual Property
The Service, including its source code, design, features, documentation, and branding, is the property of SwiftPane.com and is protected by copyright and intellectual property laws.
Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. This license does not include the right to copy, modify, or create derivative works from the Service itself.
Your designs are yours. SwiftPane does not claim ownership over templates, images, or documents you create using the platform. See "Your Content" below for details.
Section 6
Your Content
You retain all ownership rights to the content you create and upload through SwiftPane, including templates, images, logos, data source files, and exported documents.
- By uploading content, you grant us a limited license to store, process, and serve that content solely for the purpose of providing the Service to you.
- You are solely responsible for the content you create and upload. You must ensure you have the necessary rights to use any images, fonts, or other materials in your designs.
- We do not monitor or review user content, but we reserve the right to remove content that violates these terms.
- Upon account termination, your content may be deleted. We recommend exporting your designs before cancelling your account.
Section 7
Privacy & Data
Your privacy is important to us. The following outlines how we handle your data:
- Data storage: Your content (images, templates, data source files) is stored securely on Cloudflare R2 cloud storage. Account data is stored in encrypted databases.
- Data access: Your content is accessible only to authenticated members of your organization, subject to role-based permissions.
- Payment data: Payment information is handled directly by Stripe and is never stored on our servers.
- Email: We use your email address for account-related communications including invitations, verification, and service notifications.
- No selling of data: We do not sell, trade, or rent your personal information or content to third parties.
- Data export: You may export your designs as PDF files at any time through the editor.
Section 8
Service Availability
We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance and system updates.
- Unplanned outages caused by circumstances beyond our reasonable control.
- Third-party service disruptions (cloud hosting, payment processing, etc.).
We will make reasonable efforts to notify users of planned maintenance in advance. We are not liable for any loss or damage resulting from service downtime.
Section 9
Termination
Either party may terminate the use of the Service:
- By you: You may cancel your subscription and stop using the Service at any time through the Billing page.
- By us: We may suspend or terminate your account if you breach these terms, engage in abusive behavior, fail to pay outstanding invoices, or if continued provision of the Service becomes impractical.
Upon termination, your right to access the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes (such as billing records). Content stored on our servers may be deleted after a reasonable retention period following termination.
Section 10
Disclaimers
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that:
- The Service will meet your specific requirements.
- The Service will be uninterrupted, timely, secure, or error-free.
- The results obtained from using the Service will be accurate or reliable.
- Any defects in the Service will be corrected within a specific timeframe.
Section 11
Limitation of Liability
To the maximum extent permitted by applicable law, SwiftPane.com and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
Our total liability for any claim arising from these terms or your use of the Service shall not exceed the amount paid by you to SwiftPane in the twelve (12) months preceding the claim.
Section 12
Indemnification
You agree to indemnify and hold harmless SwiftPane.com, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service.
- Your violation of these terms.
- Your violation of any third-party rights, including intellectual property rights.
- Content you create, upload, or distribute through the Service.
Section 13
Changes to Terms
We reserve the right to modify these terms at any time. When we make material changes, we will notify users via email or through a notice within the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised terms.
We encourage you to review these terms periodically. The "Effective" date at the top of this page indicates when these terms were last updated.
Section 14
Governing Law
These terms shall be governed by and construed in accordance with the laws of Australia. Any disputes arising from or relating to these terms or the Service shall be subject to the exclusive jurisdiction of the courts of Australia.
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
